    The Corporate Counsel, Senior IP and Technology Specialist is primarily responsible for drafting, negotiating and resolving legal issues regarding Iron Mountain’s technology-related agreements (e.g. software license, SaaS, professional services, partner, reseller, referral and proof of concept agreements). Counsel is expected to partner with the business lead and to provide advice on risk, options and solutions in clear, concise written or oral communications. 


    Key Responsibilities:

    • Draft, negotiate and advise internal business teams on all kinds of technology agreements including a deep understanding of and ability to translate to internal customer concepts such as software as a service, OEM and reseller. Simultaneously manage multiple transactions and deadlines. 
    • Understanding of all Iron Mountain business lines, including new products sponsored by the team supporting the Chief Technology Officer and the legal issues associated with them. Familiarity with standard and fallback positions and developing creative solutions for internal business, sales and procurement teams to help meet business needs.
    • Create new contract templates to support new customer technology service offerings as needed.  
    • Draft, negotiate and advise internal business teams on technology-focused customer agreements for Iron Mountain’s new customer technology service offerings.
    • Assist with various legal team initiatives/projects, as needed.

    Business Expertise: This role requires an individual with experience in balancing legal positions and business needs, preferably in an IP-related law firm or in-house position.


    Leadership: This role does not manage others directly, however it does allocate work to others (either a project team or as a coordinator/team leader) and requires a proven track record of working successfully with other corporate functions.


    Problem Solving: This role requires complex judgments, in depth analysis (business and legal), interpretive thinking and the ability to independently develop innovative solutions.


    Nature of Impact: This role has an impact on the business by influencing decisions through advice/counsel to various internal business clients and groups.


    Area of Impact: This role directly impacts the performance of all business units representing ~$4B in annual revenue.


    Interpersonal Skills: This role requires developed communications skills to partner, communicate and negotiate complicated issues with various levels internally and externally.



    This job requires a Juris Doctor degree and bar admission, and six to ten years of experience as an attorney, preferably with functional knowledge and skills in the following areas:

    • Strong knowledge of technology law related to IP, licensing, and open source.
    • Strong knowledge of contract law principles, in customer, vendor and partner contexts.
    • Knowledge of IP law related to trademarks and copyrights, including enforcement of IP rights.
    • Strong negotiation and drafting skills with an understanding of negotiation strategies and implications of contract language nuances.
    • Strong communication and writing skills.
    • Proven track record of consistently delivering timely results for multiple projects with varying time pressures.
    • Assesses issues from both legal and business perspectives to clearly define risks, plan next steps, and succinctly and articulately communicate positions.
    • Must have initiative, self-motivation, flexibility and willingness to handle a variety of work, and the ability to re-prioritize work as necessary.
    • Team player who works with Director to set and meet goals and address business needs, but who also has the ability to work autonomously.
    • Possesses a positive, “can do” attitude and the ability to adjust to rapid change/pace.
    • Total travel time less than 5%. 
    • Licenses & Certifications Required:  Juris Doctor and bar admission. 
    • Education / Experience:  BA or BS and Juris Doctor / 5 - 10 years.
